Affiliate Program Terms and Conditions

Welcome to the AutomateNG Affiliate Program. By applying to join and participating in this program, you (“Affiliate,” “you”) agree to the following terms with AutomateNG (“we,” “us,” “our”). Please read carefully.

1. Eligibility

To join the affiliate program, you must:

  • Be at least 18 years of age
  • Have a valid Nigerian or international bank account capable of receiving Naira transfers
  • Provide accurate and complete information during registration
  • Not have been previously terminated from this program

We reserve the right to approve or reject any application at our sole discretion.

2. Commission Structure

  • Commission rate: 15% of the first project value paid by any qualifying referred client.
  • Cookie duration: 90 days. A referral is credited to you if the client makes their first contact within 90 days of clicking your unique link.
  • Qualifying sales: Only completed, fully paid projects qualify. Quotes, deposits, partial payments, and unpaid invoices do not generate commissions.
  • One-time commission: Commission applies to the first project only. Repeat work or retainer extensions from the same client do not generate additional commissions unless we explicitly notify you of changes to this policy.

3. Payouts

  • Payout schedule: Monthly, on the 5th of each month.
  • Minimum payout threshold: ₦20,000. Balances below this amount roll over to the following month.
  • Payout method: Direct bank transfer to your registered Nigerian bank account.
  • Holding period: Commissions remain in “Pending” status for 14 days after the client’s payment to allow for any refunds or chargebacks. After 14 days, they become eligible for payout.
  • Tax responsibility: You are solely responsible for any taxes owed on commissions earned through this program.

4. Referral Tracking

Referrals are tracked via cookies set when a visitor clicks your unique affiliate link. We make every reasonable effort to track all referrals accurately, but we cannot guarantee tracking in cases where:

  • The visitor has cookies disabled
  • The visitor uses incognito or private browsing modes
  • The visitor clears their cookies before completing a purchase
  • The visitor uses a different device than the one they originally clicked from

You agree that our tracking records are the final authority on commission eligibility.

5. Permitted Promotion Methods

You are encouraged to promote AutomateNG through:

  • Your personal or business website and blog
  • Social media platforms (Facebook, LinkedIn, X, Instagram, YouTube, TikTok)
  • Email newsletters to your own opted-in subscribers
  • WhatsApp groups and broadcasts where you have permission to share
  • One-on-one referrals to clients and contacts
  • Webinars, podcasts, and educational content

6. Prohibited Activities

The following activities will result in immediate suspension and forfeiture of any unpaid commissions:

  • Spam: Sending unsolicited emails, WhatsApp messages, or social media DMs to people who have not opted in to hear from you
  • Brand bidding: Buying paid ads on Google, Facebook, or any other platform using our brand name, including “AutomateNG,” “aiworkflow.com.ng,” “David Azuokwu,” or any close variant
  • Misleading claims: Making false promises, fake testimonials, or guaranteed-result claims on our behalf
  • Impersonation: Pretending to be us, our staff, or an official representative
  • Self-referrals: Using your own affiliate link to refer yourself or businesses you own
  • Cookie stuffing: Using any technical method to set affiliate cookies on visitors who did not click your link willingly
  • Fake leads: Submitting our inquiry form yourself, with fabricated details, or coaching others to do so
  • Coupon and discount sites: Posting our brand on coupon, deal, or cashback sites without prior written approval
  • Trademark violation: Registering domain names, social media handles, or business names that include our brand
  • Defamation: Speaking negatively about competitors in our name or in a way that could damage our reputation

7. Refunds, Cancellations, and Chargebacks

If a referred client cancels their project, requests a refund, or initiates a chargeback, the corresponding commission will be reversed. If the commission has already been paid out, the amount will be deducted from your next payout or, if no future payout is available, you agree to refund the amount within 14 days.

8. Relationship Between the Parties

You are an independent contractor, not an employee, agent, partner, or joint venturer of AutomateNG. You have no authority to make any representations, contracts, or commitments on our behalf.

9. Modifications to the Program

We reserve the right to modify these terms, the commission structure, the cookie duration, the payout schedule, or any other aspect of the program at any time. We will notify active affiliates of significant changes via email at least 14 days before they take effect. Continued participation in the program after changes take effect constitutes acceptance of the new terms.

10. Termination

Either party may terminate this agreement at any time, with or without cause, by providing written notice to the other party.

Upon termination:

  • You must immediately remove all references to AutomateNG from your promotional materials
  • Any commissions earned in good faith before termination will be paid in the next scheduled payout, subject to the minimum threshold
  • Commissions earned in violation of these terms are forfeited

We reserve the right to terminate any affiliate immediately and without notice if we believe the affiliate has violated these terms, harmed our reputation, or engaged in fraudulent activity.

11. Confidentiality

Any non-public information you receive about our business, clients, pricing, or operations as part of the affiliate program must be kept confidential and not shared with third parties.

12. Limitation of Liability

To the maximum extent permitted by law, AutomateNG shall not be liable for any indirect, incidental, special, or consequential damages arising out of your participation in the affiliate program. Our maximum liability under any circumstances is limited to the total commissions paid to you in the 12 months preceding the claim.

13. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from this agreement will be resolved in the courts of Nigeria.
